- 1) What is outsourcing or service externalization?

Outsourcing is an integral system of externalization of one or more areas within an organization, in which a company hires another, specialized in a subject or specific activity that needs to be developed. - 2) Which Services or functions can I externalize?

Any of your secondary activities, in other words, all of those that are not a part of the main activities of your company. This will allow you to grow incorporating Technological innovation, optimize your distribution system and even better, improve the manufacturing of your products.
- 3) Who manages and controls the externalized employees?

Externalized employees depend on the external company, which develops the service according to the agreed position with the main company. In this context, the service company is the one that instructs, supervises and controls all personnel.
- 4) Can I externalize an area that is already a part of the processes of my company?

Of course, yes you can, you may externalize a new non existent service in your organization, otherwise transfer it to an area that is already a part of the process in your company, it is important to highlight, that you have to externalize all together the activity, including the supervision.

By externalizing services, doubts and uncertainty may arise among the employees with their work stability. To avoid this, you must inform the workers involved in a clear manner ahead of time, in regards to the changes implied in the externalization Project (new employees hired , people to be fired amongst others).Incosec Enterprises, values transparency, therefore we are always willing to provide support to our clients and to their steady personnel during the process that involves implementing an externalization project.

Transitory Services
- 1) What do Chilean law require from Transitory Services?
-
The Chilean legal system establishes a tripartite relation, in which the worker agrees upon the conditions of the job and receives his remuneration from the company of transitory services. The employer on the other hand while lending this services to a third party or company, called user, who will manage the work under the frame of the functions for which it was contracted.
- 2) Which are the legal requirements that must be fulfilled by the Transitory Service Company?

A person with juridical personality and with an exclusive line of business enrolled in the Registry of Transitory Service Companies/ a public registry in the Direction of Labour, and have constituted a guarantee, which bottom amount of money is 250 UF.
- 3) Who is in charge of training the transitory service workers?
-
From the legal point of view, the initial training must be done by the client. Then it is the responsibility of EST, that each year must train at least 10 per cent of the workers through some kind of mechanism that is specified by the Statute of Training and Employment, being the Labour Direction Service in charge of verifying the fulfilment of said regulation. Incosec Holding Companies through its OTEC Incocap, is in charge of the formation of the workers that makes available to the companies using the services.
- 4) Which are the tasks that temporary service workers cannot perform?

- In the case of Managers, Assistant Managers, agents, responsible parent.
- Replacement of workers on legal strike, within a legal frame of collective negotiations;

- 5) Who manages Transitory service workers?
-
The company that uses the service must organize and manage their work, within the tasks for which it was put available by the EST, *article 183/X.
- 6) Which is the extent of framework in terms of duration in which the personnel has to be put to work?
-
• For the time that the replaced worker absentee lasts, for medical license, maternity rest or holidays.
• For 90 days, when it is related to extraordinary events or increase of activity in the main company.
• For 180 days, without renewal, when it is related to new and specific projects. In the case of handicap workers this frame time can be extended.
• For the period of time that an urgent job may last, that would require immediate attention. - 7) In what case can the time frame be postponed?

If the circumstances that motivated the celebration of the contract for transitory services continue and the time frame in which the worker performance is less tan 90 or 180 days, depending on the specific case, the time frame may be postponed until the completion of the 90 or 180 days.
- 8) What rights do workers have of transitory services when they provide a service in the site or place of work of the user?

The LABOUR CODE *article 183/Y recognizes the fundamental in forced rights of the transitory workers within the user company, specially if intimacy could be affected, their private life or honour.
- 9) Who controls the attendance of the transitory service workers?
-
The user company must have a registry of the hours when they come to work and when they leave, each day, which copy has to be put available of the EST, *article 183/W. The attendance registry may consist in an attendance book or a clock control or some other similar system, having to fulfil with the general jurisprudence of Labour Direction.
- 10) Are there additional requirements for the attendance registry of transitory workers?

Yes, the name and last name of the worker has to be indicated, as well as the name or social business name, address of the EST, name, address and social business name of the user company, also a registry of the time workers come in and the time when they leave for each day.
